1. Acceptance

By downloading, installing, accessing, or using the CopDefender mobile application, website, or any related service (collectively the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (16 in the EU/UK). By using the Service you represent that you meet these age requirements and have the legal capacity to enter into a binding contract.

3. License (End-User License Agreement)

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal, non-commercial use. You may not: (a) copy, modify, reverse engineer, decompile, or disassemble any part of the Service; (b) remove proprietary notices; (c) sell, sublicense, rent, or lease access; (d) use the Service to build a competing product.

4. Your account

You are responsible for safeguarding your password and for any activity under your account. Notify us immediately at security@copdefender.app if you suspect unauthorized access.

7. Your content (recordings)

You own your recordings. By uploading content to our cloud backup you grant us a worldwide, non-exclusive, royalty-free license solely to host, transmit, process, and display the content as needed to operate the Service. We claim no other rights. We will not:

You represent that you have the legal right to record and store any content you upload, including under your jurisdiction's recording-consent laws.

8. Our intellectual property

The Service, its design, content, code, trademarks, and logos are owned by us or our licensors and protected by intellectual property laws. Except for the limited license in Section 3, nothing in these Terms transfers any IP rights to you.

9. Third-party services

The Service uses third-party providers (Supabase, Stripe, Google Maps, OpenStreetMap Nominatim, App Store, Google Play). Their terms and privacy policies govern your use of those services. We are not responsible for third-party services.

10. Disclaimers — no legal advice, no warranty

No legal advice. CopDefender provides educational and reference information about constitutional rights and police-encounter procedures. It is not a substitute for advice from a licensed attorney. Your jurisdiction's laws may differ. Always consult counsel before making legal decisions.
Recording laws vary by state. You are solely responsible for complying with recording-consent laws (one-party vs. two-party), wiretap statutes, and any restrictions on filming public officials in your jurisdiction. We make no guarantee that any recording made through the Service is admissible as evidence in any court or proceeding.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT RECORDINGS WILL BE PRESERVED, RECOVERABLE, OR ADMISSIBLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COPDEFENDER, TRANSPARENCYNOW, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR:

OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow exclusion of certain warranties or limitation of certain damages, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless CopDefender, TransparencyNow, and their affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) your violation of any law or third-party right (including recording-consent laws); (c) any content you record, upload, share, or distribute through the Service; (d) your interaction with any law enforcement officer, attorney, or third party.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for material breach of these Terms, suspected fraud, or as required by law. Upon termination, sections that by their nature should survive (IP, disclaimers, liability limits, indemnification, arbitration) will survive.

14. Arbitration agreement & class-action waiver

READ THIS CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to the Service or these Terms (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitrator's decision is final and binding.

Class-action waiver. You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of multiple parties or preside over any class proceeding.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@copdefender.app within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your account email.

Exceptions. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. Either party may seek injunctive relief in court for IP infringement.

Location & costs. Arbitration will take place in the U.S. county where you reside, or via remote hearing. Filing fees follow AAA rules; we will pay AAA fees that exceed what you would pay in court for claims under $10,000.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the arbitration agreement.

16. Changes

We may modify these Terms. Material changes will be communicated by email and an in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

17. Severability & contact

If any provision is held unenforceable, the remaining provisions remain in full effect. These Terms (together with the Privacy Policy, Disclaimer, and Refund Policy) constitute the entire agreement between you and us.
